EASY AGENCY Agreement
1) By registering with either EASY Premium Network, EASY Plus Network or EASY Basic Network (see also as ’EA Network(s)’) in EASY AGENCY ( see also as EA ), you become a Member* (’you’,’your’) and agree that you have entered into a legally binding agreement with EASY AGENCY CARGO Kft. (Ltd.) (’we’,’us’,’our’) (a company incorporated in Hungary under the registered number: 25775327-2-42, in the EU: HU25775327, at the registered address P.O. Box: 1152, Budapest, Illyés Gyula utca 2-4. fsz.7.) and with the Terms and Conditions of this EA Agreement.
2) This is an EA Agreement between the Member (not named in this EA Agreement) identified in his/her/its EASY AGENCY registration, and EASY AGENCY CARGO Kft. (Ltd.) a company incorporated in Hungary under the registered number: 25775327-2-42, in the EU: HU25775327, at the registered address P.O. Box: 1152, Budapest, Illyés Gyula utca 2-4. fsz.7.
3) If you are using the services on behalf of a company or other legal entity, you are representing that you have the authority to bind the company or other legal entity to the terms and conditions of this EA Agreement and acknowledge and understand that both you, individually, and the company or entity which you represent are bound by this EA Agreement.
4) This EA Agreement is a general contract. By registering into any Network(s) of the EA Networks and by by ticking ’’I have read and agree to the Terms and Conditions and the Privacy Policy and the EASY WhatsApp Regulations’ ( see in Clause [ 2 ] ), your company shall be identifiable by the registration details submitted, which shall digitally be connected and became known and inseparable part of this EA Agreement resulting the establishment of the contractual relationship.
5) You acknowledge that you have read and understood all the terms of this EA Agreement and that you agree, on behalf of yourself and on behalf of any company or other legal entity which you represent.
6) This EA Agreement shall be in force from the arrival date of your member application and shall be activated if your membership fee payment arrives duly at the account of the EASY AGENCY CARGO Kft. as the beneficiary of the payment continue until the end of the agreed time period of the parties.
Rights and Obligations
1) EASY AGENCY and its Networks provides to its Member(s) benefits. Under this EA Agreement we grant you 0-24 hours permission and right to access to the database of the EA network(s) chosen to join and to the services provided by EA, which is revocable and non-assinable at any time. The request of termination must be submitted in writing.
2) We give you invoice payment protection known as EASY SHIELD.
3) We give you Shipping Service.
4) We give you Invoicing Service.
5) We give you instant messaging service.
6) We give you the possibility of conference participation.
7) Advertising to a fellow EA Network Member(s) or to a third party through any operative EA communication channels is absolutely dependent on the specific agreement between EA and the advertising Member(s).
8) We send you newsletters, ads, commercial ads, and collect information for surveys and questionnaires from time to time. Also use remarketing services to advertize on the third part web site.
9) You have the right to refuse points 2)-8) above, except for the point 2) in the case of EASY Premium Network membership.
10) You have the right to report your dispute with your EA business partner and to submit financial claim to receive compensation from EA in return for your unpaid freight invoice(s) on condition that you did not violate the Terms and Conditions of the EA Agreement, the Privacy Policy and the EASY WhatsApp Regulations and meet the requirements described in details in EASY Shield.
11) You have the right to go to an international court for a legal remedy. It falls under the jurisdiction of the courts that is universally accepted by the legal systems of the disputing parties.
12) By submitting your registration to us, you represent and warrant that you are entitled and have the full power and authority to submit the details of your registration, which are accurate, not confidential and not in violation of any other contractual restrictions or other third party rights.
13) By submitting your registration to us you acknowledge that your registration details are absolutely voluntary on your part.
14) By submitting any documents to EA, you warrant that it does not contain confidential, proprietary or protected third party information.
15) You are expected to respect and keep the nature of confidentality in all Member-Member, EA-Member business relationship.
16) You are expected to answer to the request of your partner Member within 24 hours.
17) You are expected to answer to the email, WhatsApp message of the EA representative within 24 hours.
18) You undertake that you bear your own bank charges, and do not pass any of your part on neither your fellow Member nor to EA.
19) You undertake that you pay membership fee for your membership period during which if you cancel it for whatever reason it is, it is nonrefundable.
20) You recognize and understand that all business transactions are undertaken at your own risk.
21) It is your responsibility to keep your webpage profile and data information accurate and updated, and EA shall not be liable for any consequence resulting from your failure of inaccuracy and for any information being out of date.
22) We may modify, replace, refuse access to, suspend or discontinue EA and its Networks and services partially or entirely, or modify membership fee for all or part of EA and its Networks and services for you or for all our Members, introduce new or delete old functions in our sole discretion. In such cases we send a notice prior to any of the above changes.
23) EA and its Networks reserve the right to withhold, remove and/or discard any content available as part of your webpage and/or the EASY WhatsApp communication platform(s), with or without notice if deemed by EA to be contrary to the Terms and Conditions of the EA Agreement, the Privacy Policy and the EASY WhatsApp Regulations.
24) If a Member is deemed to have defaulted on a payment to a fellow Member, the EA reserves the right to notify all and/or part of the EA Members by means of any communication channel available.
25) You warrant that you are not the competitor of EA and its services and are not joining for reasons to collect information that are in competition with EA and its services.
26) You do not violate EA intellectual property rights such as patents, rights to inventions, know-how, design right, copyright, trade marks, logos, business names and domain names, the right to sue for passing off, database rights, the right to protect confidental information and all other intellectual property rights, in each case whether registered or unregistered.
27) We may terminate your EA Agreement, for any or no reason, at any time with notice to the Member concerned. The termination shall be effective from the date specified in the notice at all times.
28) EA shall inform all existing Members of the termination or revocation of the membership status at its own discretion.
29) In the event of termination or revokation of the membership, for whatever or no reason, the Member agrees to remove the logo, name of EA and EA Network from its literature, publicity materials, and its login, password, as well as the Member's details are terminated with immediate effect.
30) You agree that any dispute between the EA Members, EA and the Member is the matter of the disputing parties, which problem mustn’t be conveyed towards the other EA Members without the prior consent of EA neither through email nor through the WhatsApp platform chat or any social networking communication channel such as Facebook, Instagram, Twitter etc. available. For the former EA provides neutral arbitration between the parties and reserves the right to decide if the disputing matter must be conveyed or discussed among the other Members or not.
31) We declare and take the responsibility for not giving out the details or any kind of confidential information in regards to a registered Member of the EA for any third party's request in no circumstances at all until the registered Member allows in writing to do so. We may share information with governmental agencies or other companies assisting us in fraud prevention or investigation. We may do so when: (1) permitted or required by law; or, (2) trying to protect against or prevent actual or potential fraud or unauthorized transactions; or, (3) investigating fraud which has already taken place. The information is not provided to these companies or any other organizations for marketing purposes.
32) Keep mutual respect. In all cases, you shall respect the Member’s political, religious, gender, racial, ethnic and skin color etc. affiliations. Any public violation of these will result the immediate termination of your membership.
33) You read carefully and comprehend the terms of Terms and Conditions of EA Agreement, Privacy Policy, Code of Conduct and EASY WhatsApp Regulations.
Miscellaneous
1) The Member shall not keep EA liable for any demands due to inappropriate activites and performs due to another EA Member(s) or third party (ies)in the EA Networks and its services.
2) You avoid spam style request quoting to your fellow EA Network Member.
3) The official communicational language used in EA and in its Networks is the RP English Language.
4) We are not responsible and make no warranties for any member generated messages, contents, posts, answers etc. sent within the framework system and communication channels of EA. We also disclaim all liability for identity theft or any other misuse of your identity or information.
5) Function interruption due to maintenance, updates, system failures or to any errors may occur. Furthermore we disclaim all liability for any impossibility of access, malfunctioning, or poor use of our site(s) due to the lack of the neccessary tools such as hardware, software, instable internet access, mobile phone misuse and/or other services.
6) For losses caused by any kind of misunderstanding(s), misinterpretation(s) of Terms and Conditions of EA Agreement, Privacy Policy, Code of Conduct and Easy WhatsApp Regulations due to the lack of the proper use of the EA official communication language and/or to other reasons, EA shall not be held liable.
7) This EA Agreement shall not as it being public records, but may be disclosed if both sides agreed.
8) EA is committed to ensuring the security and protection of personal information that we process and to providing consistent approach to data protection (see our Privacy Policy).
9) The terms of this EA Agreement and the relationship between the Member and EA shall be governed by the the laws of the EU. The Member agrees irrevocably to submit to the exclusive jurisdiction of the courts within the EU.
10) It is your responsibility to pay the tax according to your tax obligations.
11) EA may unilaterally vary any term and condition of this EA Agreement in order to comply with any legislation applicable to the business relationship of the parties and to the services of the EA.
12) EA shall not be liable for any failure to perform any obligations under this EA Agreement caused by the occurence of any unforseen or unstoppable circumstances beyond the reasonable control of EA, known as Force Majeure.
Definition
*(A) Member(s) shall be defined as (an) individual(s), (a) compan(ies) or (an) organization(s) that are professionally qualified and in possesssion of the neccessary expertise and solvency to do business in accordance with the local rules, or laws in their local jurisdiction.
Clause [ 1 ]
The official opening of EASY AGENCY is scheduled to take place on the EASY Conference. From the date of acceptance of the Terms and Conditions of the EASY Agreement all the points of the EA Agreement applies to all Members, except for the EASY Freight Invoice Protection ( EFIP ) which can be applied for companies which pay the EASY Premium Network membership fee and the EASY Plus Network protection fee of 250 USD after 28th October, 2024!

EASY AGENCY WhatsApp Messenger Regulations and Information Guidelines (also as EASY WhatsApp Regulations)
EASY AGENCY WhatsApp Messenger Regulations(1-9) and Information Guidelines(a-j) has been made to support the smooth and flawless operation of our closed EASY WhatsApp group chat platforms created to provide guidelines for the joined Members of the networks and to help you in better understanding of its essence and functioning.
1., Joining to the closed EASY WhatsApp group is optional.
2., You can quit at any time without prior notice.
3., Keep mutual respect. In all cases, you shall respect the Members’ political, religious, gender, racial, ethnic and skin color affiliations. Any public violation of these will result the immediate termination of either of the chat or/and your access.
4., The platform is for sector-related business purposes only. Texts, voice messages, video messages, video calls, image and document shares other than those are not accepted.
5., Abusive, obscene, discriminative...etc.behaviour or any forms of their manifestation are absolutely forbidden which results the immediate deletion of your access.
6., Discussing sector-related business issues are the matter of the discussing parties only, consequently using the chat platform for such purposes is not accepted and may result in deleting the access(es) of the party(ies).
7., Spam style company promotion is not accepted.
8., Company promotion is accepted for the company only, which has a membership and has a group chat access.
9., Other network promotion, invitation to conferences of other network(s), recruiting , promoting other events are not accepted.
a., The WhatsApp application is not the property of the EASY AGENCY, which is only the user of it. EASY AGENCY is the creator and administrator of the closed business group platform operated by the network representative designated, the admin of EASY AGENCY.
b., We do not guarantee and make no warranties for any Member generated texts, voice messages, video messages, video calls and images and documents sent through the platform. We disclaim all liability for the content of communication.
c., The admin reserves the right to delete the group at any time and/or the Member’s WhatsApp access if any of the Regulations (1-9 ) are violated.
d., We may delete any kind of messages which formulates sentences other than business sector-retaled ones (political, racial, skin colour, gender, ethnical, religious...etc.), which may hurt others such as ’I support...’ ’The...company supports...’, ’We think that...’etc. We may also delete messages which reflects for the opinion messages and for the opinions’ opinion messages...etc.
e., We may support any kind of messages which is targeted for the support of any countries suffered from natural disasters, earthquakes, floods, tsunamies...etc. Also expressing the announcements of celebrations in different cultures and customs either profane or religious from all over the world.
f., We do not guarantee that the operation of the WhatsApp application and/or the group chat platform service support function without interruption due to maintanance, updates, system, malfunctioning, internet network saturation...or any errors. We disclaim all liability for any disturbances.
g., Admission to a group must be based on a network membership. Re-admission to a group is up to the decision of the group admin.
h., Further discussion after the very first contact chat message is advised to be continued in private chat windows of the parties.
i., Any payments, payment details, payment issues are not part of the chat platform at no times.
j., If a company leaves the network, its WhatsApp group representative(s) is/are automatically separated from the group concerned without notice.
